    1. Introduction and acceptance

    These Terms of Service ("Terms") govern the use of the Insieme.AI platform, including the website, Telegram and WhatsApp bots, and all related services (collectively, the "Service"), provided by Inloop Srl, with registered office at Via degli Oleandri 5, 85100, Potenza (PZ), Italy, VAT number: 02124480761, a company incorporated under Italian law ("Inloop Srl", "we", "our").

    By accessing or using the Service, the user ("you", "your") agrees to be bound by these Terms. If you do not accept these Terms, do not use the Service.

    Use of the Service is also subject to our Privacy Policy, which describes how we collect, use, and protect your personal data.

    2. Definitions

    • Service: The Insieme.AI platform, including website, Telegram/WhatsApp bots, and related features.
    • Companion: An artificial intelligence agent with a predefined personality, with which the user can interact via chat.
    • User: Any natural person who accesses or uses the Service.
    • User Content: Messages, commands, and any information sent by the user during interaction with the Service.
    • AI Response: Any text, suggestion, or content generated by the Companions through artificial intelligence.
    • AI Provider: The artificial intelligence model provider used to generate responses.
    • Plan: The user's subscription tier (Free, Premium, or Business), which determines usage limits for the Service.
    • AI Credits: Supplementary credit purchasable by the user to extend the daily AI budget beyond the limits of their Plan.
    • Memories: Personal facts and information automatically extracted from conversations and used to personalize Companion responses.

    3. Service description

    Inloop Srl offers a digital companion service powered by artificial intelligence, accessible through:

    • Telegram bot for chat interactions
    • WhatsApp bot for chat interactions
    • Web interface for viewing conversation history and managing settings
    • Email integration (Outlook) for draft management
    • Calendar integration (Google Calendar, Outlook Calendar) for event management
    • Personal document management with RAG (Retrieval-Augmented Generation) system
    • Personalized news briefing
    • 6 AI Companions with distinct personalities, organized into 3 categories (Professional, Friend, Romantic), with per-category exclusivity
    • Personal notes system with tags, pinning, and export
    • Smart reminders (one-time and recurring) with Telegram/WhatsApp notifications
    • Memory system: automatic extraction of personal facts from conversations to personalize responses
    • Proactive messages: Companions may send spontaneous messages based on user context and habits
    • Smart Alerts: automatic notifications for urgent emails and upcoming events without a location
    • Voice commands (50+ patterns in Italian and English) with advanced AI audio transcription
    • Subscription plans (Free, Premium, Business) with differentiated limits for AI requests, documents, audio, and active companions
    • Supplementary AI credits purchasable to extend daily budget

    The Service uses third-party artificial intelligence models to generate conversational responses. Responses are algorithmically generated and do not represent opinions, advice, or human communications.

    4. Artificial intelligence disclosure

    In compliance with the EU Artificial Intelligence Act (AI Act, Regulation EU 2024/1689), we inform the user that:

    • Companions are artificial intelligence systems, not real people.
    • Responses are generated by large language models (LLMs) and may contain errors, inaccuracies, or outdated information.
    • The Service does NOT provide medical, legal, financial, or professional advice of any kind.
    • Companion responses must not be used as a substitute for qualified professional judgment.
    • The system is not designed to manipulate users' emotions or behaviors within the meaning of Art. 5 of the AI Act.
    • Companions do not have consciousness, feelings, or intentions of their own.

    The user acknowledges and agrees that any decision made based on Companion responses is their sole responsibility.

    5. Age requirements

    The Service is intended for users aged 16 or older, in compliance with Art. 8 of the GDPR and Italian regulations on digital consent for minors (Legislative Decree 196/2003 as amended by Legislative Decree 101/2018).

    By registering, the user declares to be at least 16 years old. Inloop Srl reserves the right to request age verification and to suspend accounts that appear to belong to persons under 16.

    6. Registration and account

    To use the Service, it is necessary to create an account. The user agrees to:

    • Provide accurate and up-to-date information during registration
    • Keep login credentials confidential
    • Immediately notify any unauthorized access to their account
    • Not share their account with third parties
    • Not create multiple accounts to circumvent Service limitations

    7. Acceptable use and prohibited conduct

    The user agrees to use the Service lawfully and respectfully. The Service may be used for personal conversations, work organization, email and calendar management, and document consultation.

    The following are expressly prohibited:

    • Using the Service for illegal activities or activities that violate applicable laws
    • Attempting to manipulate Companions to generate harmful, offensive, discriminatory, or illegal content
    • Using the Service for harassment, stalking, threats, or intimidation of third parties
    • Attempting to extract, reverse-engineer, or copy AI models or system prompts
    • Using the Service to generate spam, phishing, or fraudulent communications
    • Intentionally overloading the system with automated requests (bots, scripts)
    • Violating third-party intellectual property rights through the Service
    • Using the Service to create content that exploits minors
    • Sharing sensitive data of third parties without their consent

    8. User content

    The user retains ownership of their messages and content sent to the Service. However, they grant Inloop Srl a limited, non-exclusive, and revocable license to process such content solely for the purpose of providing the Service.

    User messages are sent to third-party AI models for response generation. Inloop Srl does not use conversation content to train its own artificial intelligence models, unless the user provides explicit and separate consent.

    The user is responsible for the content they send and warrants that they have the right to share it. Inloop Srl does not proactively monitor content but reserves the right to intervene in case of violation of these Terms.

    Custom AI Models. The Service's default AI models have been selected by Inloop Srl based on their providers' policies, which include not using user data for training purposes. Users with a paid plan may choose custom AI models different from the defaults. In such cases, Inloop Srl cannot guarantee that the provider of the user's chosen model will not use the transmitted data (messages, documents, conversation content) to train their artificial intelligence systems. Users who select a custom model expressly accept this risk and release Inloop Srl from any liability related to data processing carried out by the chosen model's provider. Before activating a custom model, the user must accept a specific disclaimer within the Service.

    9. Intellectual property

    The Service, including design, source code, interfaces, text, graphics, logos, and trademarks, is the exclusive property of Inloop Srl and is protected by Italian and European intellectual property laws.

    The names and personalities of the Companions (Clara, Alex, Sara, Cristian, Aria, Leo) are original creations of Inloop Srl. The user may not reproduce, imitate, or use them outside the Service without written authorization.

    10. Service limitations

    The Service is provided "as is" and "as available". Inloop Srl does not guarantee:

    • The accuracy, completeness, or reliability of AI-generated responses
    • Continuous and uninterrupted availability of the Service
    • The absence of errors, bugs, or malfunctions
    • The suitability of the Service for the user's specific purposes
    • That AI responses are up-to-date or reflect current information

    11. Limitation of liability

    To the maximum extent permitted by Italian law and EU consumer protection regulations, Inloop Srl shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the Service.

    In particular, Inloop Srl is not liable for decisions made by the user based on Companion responses, nor for any damages resulting from inaccurate or incomplete information generated by the AI.

    Nothing in these Terms limits or excludes Inloop Srl's liability for willful misconduct, gross negligence, or in cases where limitation of liability is not permitted by applicable law (including mandatory consumer rights under the Italian Consumer Code, Legislative Decree 206/2005).

    12. Suspension and termination

    Inloop Srl reserves the right to suspend or terminate access to the Service in case of:

    • Violation of these Terms
    • Abusive or fraudulent use of the Service
    • Non-payment (for paid services, if applicable)
    • Request from judicial or regulatory authorities
    • Technical or security needs

    The user may terminate their account at any time from the Service settings. In case of termination, user data will be handled as described in the Privacy Policy.

    13. Changes to the terms

    Inloop Srl reserves the right to modify these Terms at any time. Changes will be communicated via email or notification within the Service at least 30 days before they take effect.

    Continued use of the Service after the changes take effect constitutes acceptance of the new Terms. In case of disagreement, the user may close their account without penalty.

    14. Applicable law and jurisdiction

    These Terms are governed by Italian law. For any dispute relating to these Terms or the Service, the court of the consumer user's place of residence or domicile shall have jurisdiction, pursuant to Art. 66-bis of the Italian Consumer Code.

    15. Payments, Subscriptions and AI Credits

    15.1 Subscription Plans and Billing

    The Service offers free and paid plans (Premium, Business) with monthly or annual billing. Subscriptions renew automatically at the end of the chosen period, unless cancelled before renewal.

    Prices are expressed in Euros (EUR), VAT included where applicable under Italian law (Art. 21 DPR 633/1972). Electronic invoices are issued and made available in the user's account within the legal timeframes. For Italian VAT-registered entities, invoices are prepared for SDI (Sistema di Interscambio) transmission.

    15.2 Payment Methods

    Payments are processed through Stripe, Inc., a PCI-DSS Level 1 certified processor. Insieme AI (Inloop Srl) does not store or have access to the User's full credit card details.

    • Credit/debit cards (Visa, Mastercard, American Express)
    • PayPal, where available
    • SEPA bank transfer, where available

    The User is responsible for keeping their payment method up to date.

    15.3 AI Credits

    • AI Credits are prepaid packages that can be purchased separately (Starter, Plus, Pro, Power).
    • The Credit balance is denominated in US Dollars (USD), reflecting the cost of underlying AI models; the purchase price is expressed in Euros (EUR).
    • AI Credits do not expire and remain available until used or account deletion.
    • AI Credits are non-transferable between accounts, non-convertible to cash, and do not accrue interest.
    • Each Credit package includes a number of supplementary "Bonus Requests", indicated at the time of purchase. Bonus Requests follow the same rules as Credits.

    15.4 Failed Payments

    In case of a failed payment, the system will make up to 3 automatic retry attempts according to Stripe's schedule (typically 3, 5, and 7 days). If all attempts fail, the subscription will be suspended and the User will be downgraded to the Free plan. Any previously purchased AI Credits remain available even after a plan downgrade.

    15.5 Subscription Changes and Cancellation

    • The User may change their plan (upgrade/downgrade) or cancel their subscription at any time from Settings > Subscription or through the Stripe portal.
    • Upgrades take effect immediately with a prorated charge for the remaining period.
    • Downgrades take effect at the end of the current billing period; the User retains the benefits of the higher plan until that date.
    • Cancellation takes effect at the end of the current billing period. No further charges will be made after cancellation. At the end of the period, the account will revert to the Free plan.
    • In case of downgrade or cancellation, features exceeding the limits of the lower plan (active companions, custom prompts, AI models) will be automatically adjusted.

    15.6 Pricing and Tariff Changes

    Current prices are published on the /pricing page and may be changed with at least 30 days' notice via email and/or in-app notification. Tariff changes do not apply to already-paid subscription periods. If the User does not accept the new conditions, they may cancel their subscription before the next renewal.

    15.7 Currency and Conversions

    Subscriptions are billed in Euros (EUR). AI Credits are denominated in US Dollars (USD) to align with AI provider costs. The purchase price in Euros is fixed and defined at the time of purchase. Any exchange rate differences between the Credit balance (USD) and the price paid (EUR) do not entitle the User to adjustments.

    16. Refund Policy

    16.1 Right of Withdrawal (Italian Consumer Code, Legislative Decree 206/2005)

    Pursuant to Articles 52-59 of the Italian Consumer Code, the consumer has the right to withdraw from the contract within 14 days of the date of purchase, without providing any reason.

    The right of withdrawal is exercised by sending a written communication to support@insieme.ai or through the contact form, indicating the order details.

    16.2 Exception to the Right of Withdrawal for Digital Content (Art. 59, letter o)

    Pursuant to Art. 59, paragraph 1, letter o) of Legislative Decree 206/2005, the right of withdrawal is excluded for the supply of digital content on a non-tangible medium if performance has begun with the consumer's express agreement and their acknowledgment that they would thereby lose their right of withdrawal.

    Specifically:

    • Unused AI Credits: full refund within 14 days of purchase, subject to verification that no Credit from the package has been consumed (even partially) and no Bonus Request has been used.
    • Partially or fully used AI Credits: no refund, either total or partial. The commencement of Credit usage constitutes performance of the digital content supply contract and results in the loss of the right of withdrawal under Art. 59, letter o) of the Consumer Code.
    • Subscriptions: full refund if requested within 14 days of activation and the service has not been substantially used. If the service has been used, the refund will be proportionally reduced for the period of actual use pursuant to Art. 57, paragraph 3 of the Consumer Code.

    16.3 Express Consent to Immediate Performance

    At the time of purchasing AI Credits or activating a subscription, the User gives their express consent to the immediate performance of the contract and acknowledges that, once the use of digital content has begun (use of Credits, access to Premium features), they will lose their right of withdrawal.

    Such consent is obtained through a dedicated confirmation in the purchase flow.

    16.4 Specific Conditions for AI Credit Refunds

    A refund is possible exclusively if:

    • The request is received within 14 days of the date of purchase.
    • No Credit from the purchased package has been used, not even partially.
    • No Bonus Request associated with the package has been used.
    • The User's account is in good standing and not suspended for violation of the Terms.

    If all of the above conditions are met, the refund will equal 100% of the amount paid, through the same payment method used for the purchase.

    No partial refunds are provided: the use of even a single Credit or a single Bonus Request precludes any refund on the entire package.

    16.5 Refund Timeframes

    Approved refunds will be processed within 14 days of receiving the request, as required by Art. 56 of the Consumer Code. Actual crediting times depend on the payment network used (typically 5-10 business days).

    16.6 Refunds for Technical Malfunctions

    In case of a documented technical malfunction that prevented the use of the purchased service, the User is entitled to a full refund or an equivalent Credit top-up, at the User's discretion, regardless of any partial usage. The report must be submitted within 30 days of the malfunction.

    17. Roleplay Mode

    Roleplay mode is an optional feature available exclusively to users who have subscribed to the Roleplay plan and are at least 18 years old.

    When activating Roleplay mode, the User must explicitly confirm being at least 18 years old and accept these terms and the Privacy Policy related to Roleplay.

    Roleplay mode allows creative fictional scenarios with Friend and Romantic companions (Sara, Cristian, Aria, Leo), including romantic and intimate content between adult characters.

    Roleplay conversations are stored in a separate history and do not affect normal chats or AI companion memories. No memories are extracted from Roleplay chats.

    The User is responsible for the content requested during Roleplay. Insieme.AI is not responsible for the content produced by AI models, including custom models selected by the user.
